1. Agreement to Terms

These Terms of Service ("Terms") govern your use of Wire by Covers ("Wire," "we," "us," or "our"), a restaurant compliance news and alerts platform operated at wire.getcovers.dev. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use Wire.

2. Service Description

Wire aggregates and delivers restaurant industry compliance news, regulatory updates, health department alerts, and related information relevant to food service businesses. The service includes:

  • Curated compliance news feeds filtered by your state and city
  • AI-powered summaries and analysis of regulatory changes
  • Alerts for new regulations, inspection rule changes, and compliance deadlines
  • Pro tips and educational content about labor law, food safety, and compliance topics

3. Information Relay Disclaimer

WIRE IS AN INFORMATION RELAY SERVICE. WE AGGREGATE, SUMMARIZE, AND DELIVER NEWS AND REGULATORY INFORMATION FROM PUBLIC AND THIRD-PARTY SOURCES. WE ARE NOT A LAW FIRM, COMPLIANCE CONSULTANCY, REGULATORY AGENCY, OR LEGAL ADVISOR.

The content provided through Wire — including news articles, pro tips, regulatory summaries, alerts, and AI-generated analysis — is for general informational purposes only. It does not constitute and should not be relied upon as legal advice, regulatory guidance, compliance consulting, or professional advice of any kind.

Wire makes reasonable efforts to relay accurate information, but we do not guarantee and cannot be held responsible for the completeness, accuracy, timeliness, or applicability of any content. Regulatory information changes frequently. Laws and regulations vary by federal, state, county, and municipal jurisdiction. Information that is accurate for one location may be incorrect or incomplete for another.

You are solely responsible for verifying all information obtained through Wire with qualified legal counsel, compliance professionals, or the relevant government agencies before making any business decisions or taking any action based on such information.

Wire shall not be liable for any errors, omissions, or inaccuracies in the content we relay, nor for any actions taken or decisions made based on information obtained through the service. This includes but is not limited to: regulatory fines, penalties, lawsuits, labor violations, health code violations, licensing issues, or any other consequences arising from reliance on Wire content.

4. Wire AI Disclaimer

WIRE AI IS AN ARTIFICIAL INTELLIGENCE TOOL THAT GENERATES SUMMARIES, ANALYSIS, AND RESPONSES USING AUTOMATED TECHNOLOGY. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR OUTDATED INFORMATION.

Wire uses AI (powered by third-party large language models) to summarize articles, analyze regulatory changes, categorize news, and provide contextual information. You acknowledge and agree that:

  • AI-generated content is produced by automated systems and is not reviewed, verified, or endorsed by legal or compliance professionals
  • AI may produce incorrect, incomplete, misleading, or fabricated information (commonly known as "hallucinations")
  • AI-generated summaries may omit critical details, nuances, or exceptions present in the original source material
  • AI does not have knowledge of your specific business circumstances, jurisdiction, or compliance history
  • AI-generated content should never be used as a substitute for reading original source documents, consulting qualified professionals, or conducting your own independent research

You use Wire AI at your own risk. We strongly recommend verifying any AI-generated information against original sources and consulting with qualified professionals before acting on it.

5. Account Registration

To use Wire, you must create an account with a valid email address. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. Each account is for a single business entity. You may not share account credentials with individuals outside your organization.

6. Subscription and Billing

Free trial:

New accounts receive a 14-day free trial with full access to Wire features. No payment information is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the service.

Paid subscriptions:

  • Subscriptions are billed on a recurring basis (monthly or annually) through Stripe.
  • Prices are displayed at the time of purchase and may be updated with 30 days prior notice.
  • All fees are quoted in US dollars and are non-refundable except as described below.
  • You authorize us to charge your payment method on file for all applicable fees.

Cancellation:

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, you will retain access to Wire through the end of your current billing period. No partial refunds are issued for unused time within a billing cycle.

Refunds:

If you are charged in error or experience a significant service disruption, you may request a refund within 14 days of the charge by contacting legal@getcovers.dev. Refund requests are reviewed on a case-by-case basis.

7. Acceptable Use

You agree not to:

  • Use Wire for any unlawful purpose or in violation of any applicable laws or regulations
  • Scrape, crawl, or use automated tools to extract content from Wire in bulk
  • Attempt to gain unauthorized access to Wire systems, other user accounts, or data
  • Redistribute, resell, or republish Wire content without our written permission
  • Interfere with or disrupt the service, servers, or networks connected to Wire
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity
  • Use the service to transmit malware, spam, or other harmful content

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. Intellectual Property

All content, features, and functionality of Wire -- including text, graphics, logos, icons, software, and the underlying code -- are owned by Covers or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Compliance news articles and regulatory content aggregated by Wire may originate from public government sources and third-party publications. Wire's curation, summaries, analysis, and presentation of this content are our original work.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use Wire for your internal business purposes. You may not copy, modify, distribute, or create derivative works from Wire content except for reasonable internal use within your organization.

9. Disclaimers

WIRE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim:

  • Any warranty that Wire constitutes legal, regulatory, or compliance advice
  • Any warranty that the information provided is complete, accurate, or current at all times
  • Any warranty of merchantability, fitness for a particular purpose, or non-infringement
  • Any warranty of uninterrupted or error-free service

Regulatory information changes frequently. You are solely responsible for verifying the accuracy and applicability of any information obtained through Wire before acting on it. Reliance on Wire content is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Covers and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Regulatory fines, penalties, or legal costs incurred as a result of reliance on Wire content
  • Health code violations, labor law violations, or licensing issues arising from reliance on Wire content
  • Errors, omissions, or inaccuracies in relayed or AI-generated content
  • Actions taken or not taken based on information provided through Wire or Wire AI
  • Loss of data or business interruption
  • Any damages arising from your use or inability to use the service

You expressly acknowledge that Wire relays information from third-party sources and generates AI summaries using automated technology, and that such information may be incomplete, inaccurate, outdated, or inapplicable to your specific jurisdiction or circumstances. You assume all risk associated with your use of and reliance on Wire content.

In no event shall our total liability exceed the amount you paid to Wire in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Covers, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of Wire, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to Wire at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: violation of these Terms, non-payment, fraudulent activity, or extended inactivity.

Upon termination, your right to use Wire ceases immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.

You may terminate your account at any time by contacting us or through your account settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice within the application at least 30 days before they take effect. Your continued use of Wire after the effective date of updated Terms constitutes acceptance. If you disagree with the changes, you may cancel your subscription before the new terms take effect.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
